Who this agreement is between The agreement is between you, the buyer (the *licensee*), and Upleashed Limited trading as Skills Matrix Template (the *licensor*). It governs your use of the Excel Skills Matrix Template file (the *work*) and any accompanying documents, scoring policies, descriptors, dashboards, and example data shipped with it. ## 2. What you are buying A perpetual, single-team, non-transferable licence covering: - One team workbook, sized for up to 30 people and up to 30 skills. - The 0–5 capability framework: descriptors, proficiency weighting (0 excludes; 1=25%; 2=50%; 3=75%; 4=100%; 5=100%), heat map, dashboards, automated development-roadmap generator, and built-in analytics. - Lifetime updates to the version you bought. - The optional one-time PulseAI upgrade for £1 in your first 12 months of template ownership. ## 3. What you cannot do The licence is for your own internal business use. You may not: - Resell, redistribute, sublicense, or repackage the file or any part of it. - Share copies, credentials, or derivative versions with anyone outside your single licensed team. - Train an AI model, ML system, or competing product on the file, its descriptors, or its methodology. - Remove any copyright, attribution, or methodology-credit notices from the workbook. For teams over 30 people, multiple teams, or any resale, partner, or training-content arrangement, contact us about a site licence or partner agreement. ## 4. Why this purchase is non-refundable The workbook is a digital product delivered instantly and irrevocably. Once the download link has been generated and/or the file has been emailed, the work cannot be returned, recalled, or revoked. The licence is therefore non-refundable from that moment. By completing checkout you confirm that you understand the digital nature of the product, that the file will be delivered immediately, and that you expressly waive any statutory cooling-off period that would otherwise apply to consumer digital downloads (UK Consumer Contracts Regulations 2013, reg. 37(1)(a)). Payment, tax & currency Payment is taken through PayPal at the price displayed on the buy page at the moment of purchase (currently £199 GBP one-off). The displayed price is the price you pay; we do not add VAT separately at UK checkout. You are responsible for any taxes, duties, or currency-conversion fees in your jurisdiction. VAT invoicing is available on request for UK businesses, issued within one working day of asking. ## 7. Lifetime updates *Lifetime updates* means we will continue to issue improvements, fixes, and additional content for the version of the workbook you bought, free of charge, for as long as we publish that version. Updates are delivered through the same email address you used at checkout. There is no subscription, no auto-renewal, and no expiry date on your licence. ## 8. The £1 PulseAI upgrade Within the first 12 months of template ownership, you may upgrade once to PulseAI (the web and mobile platform) for a one-time payment of £1. PulseAI then renews at the standard rate (currently £199 per year) on each anniversary, and you can cancel renewal at any time from your account. The £1 promotional price is available once per template ownership and is not transferable. ## 9. Support Support is by email at . We aim to reply within one working day, UK business hours. Support covers using the workbook as supplied: opening it, populating it, interpreting the dashboards, triaging any errors. Bespoke customisation (rebranding, formula changes, integration work) is not included in the standard licence but is available on quotation. ## 10. Liability & warranty The workbook is supplied *as is*. We work hard to keep it accurate, useful, and consistent with the methodology, but we cannot warrant that it will fit a specific business context or produce a specific business outcome. To the maximum extent permitted by law, our total liability under this agreement, in contract, tort (including negligence), or otherwise, is limited to the price you paid (currently £199 GBP). We do not exclude liability for death, personal injury caused by our negligence, or fraud. ## 11. Intellectual property The workbook, the 0–5 capability framework, the descriptors, the dashboards, the proficiency weighting, the layout, and any associated assets remain the intellectual property of Upleashed Limited. The licence grants you the right to *use* the work in your own internal business operations; it does not transfer ownership or assign any underlying intellectual property. ## 12. Termination The licence terminates automatically and without notice if you breach the restrictions in clause 3 (what you cannot do). Termination does not entitle you to a refund. On termination you must stop using the workbook, destroy any copies you hold, and confirm in writing that you have done so if we ask. ## 13. Governing law This agreement and any dispute arising out of or in connection with it (including non-contractual disputes) is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction. ## 14.
