In plain English: You (the buyer) and us (Upleashed Limited, trading as Skills Matrix Template).
This agreement is between you, the buyer (the licensee), and Upleashed Limited trading as Skills Matrix Template (the licensor). It governs your use of the Excel Skills Matrix Template file (the work) and any accompanying documents, scoring policies, descriptors, dashboards, and example data shipped with it.
02 What you are buying #
In plain English: A perpetual, single-team licence for a 30-person, 30-skill workbook, plus lifetime updates and a £1 PulseAI upgrade option.
You are buying a perpetual, single-team, non-transferable licence to use the Excel Skills Matrix Template. The licence covers:
- One team workbook, sized for up to 30 people and up to 30 skills.
- The 0–5 capability framework: descriptors, proficiency weighting (0 excludes; 1=25%; 2=50%; 3=75%; 4=100%; 5=100%), heat map, dashboards, automated development-roadmap generator, and built-in analytics.
- Lifetime access to updates of the version you bought.
- The optional one-time upgrade to PulseAI for £1 in your first 12 months of template ownership (standard subscription price £199 per year thereafter).
03 What you cannot do #
In plain English: Use it internally for one team. Don’t resell, redistribute, share outside that team, or train an AI model on it.
The licence is for your own internal business use. You may not:
- Resell, redistribute, sublicense, or repackage the file or any part of it.
- Share copies, login credentials, or derivative versions with people outside your single licensed team.
- Train an AI model, ML system, or competing product on the file, its descriptors, or its methodology.
- Remove any copyright, attribution, or methodology-credit notices from the workbook.
For teams over 30 people, multiple teams, or any resale, partner, or training-content arrangement, please contact us about a site licence or partner agreement.
04 How & when delivery happens #
In plain English: The moment you pay, the download appears in your browser and a copy arrives by email. That’s the official delivery moment.

05 Why this purchase is non-refundable #
In plain English: Because the file is delivered instantly, it can’t be returned. The licence is non-refundable from the moment your download is created. If you’re unsure, talk to us before you buy — not after.
The workbook is a digital product delivered instantly and irrevocably. Once the download link has been generated and/or the file has been emailed to you, the work cannot be returned, recalled, or revoked. Accordingly, the licence is non-refundable from that moment.
By completing checkout you confirm that you understand the digital nature of the product, that the file will be delivered immediately, and that you expressly waive any statutory cooling-off period that would otherwise apply to consumer digital downloads (UK Consumer Contracts Regulations 2013, reg. 37(1)(a)).

06 Payment, tax & currency #
In plain English: £199 GBP, paid via PayPal at checkout. The price you see is the price you pay. Local taxes are your responsibility.
Payment is taken through PayPal at the price displayed on the buy page at the moment of purchase (currently £199 GBP one-off). The price displayed is the price you pay; we do not add VAT separately at checkout for UK customers. You are responsible for any taxes, duties, or currency-conversion fees that apply in your own jurisdiction.
VAT invoicing is available on request for UK businesses — reply to the order confirmation email and we will issue one within one working day.
07 Lifetime updates #
In plain English: We’ll keep improving your version, free of charge, for as long as we publish it.
Lifetime updates means we will continue to issue improvements, fixes, and additional content for the version of the workbook you bought, free of charge, for as long as we publish that version. Updates are delivered through the same email address you used at checkout. There is no subscription, no auto-renewal, and no expiry date on your licence.
08 The £1 PulseAI upgrade #
In plain English: You get a one-time option to upgrade to PulseAI for £1 within your first year. After that, PulseAI is £199/year, and you can cancel renewal any time.
Within the first 12 months of template ownership, you may upgrade once to PulseAI (the web and mobile platform) for a one-time payment of £1. The PulseAI subscription then renews at the standard rate (currently £199 per year) on each anniversary, and you can cancel renewal at any time from your account. The £1 promotional price is available once per template ownership and is not transferable.
09 Support #
In plain English: Real humans answer support, by email, normally within one working day. Customising the workbook isn’t included.
We answer support questions by email at upleashed.com/support. We aim to reply within one working day, UK business hours. Support covers using the workbook as supplied: getting it open, populating it, interpreting the dashboards, and triaging any errors. Bespoke customisation (rebranding, formula changes, integration work) is not included in the standard licence but is available on quotation.
10 Liability & warranty #
In plain English: We supply the workbook “as is” and stand behind its accuracy. Our total liability is capped at what you paid (£199).
The workbook is supplied as is. We work hard to keep it accurate, useful, and consistent with the methodology, but we cannot warrant that it will fit a specific business context or produce a specific business outcome. To the maximum extent permitted by law, our total liability under this agreement, in contract, tort (including negligence), or otherwise, is limited to the price you paid for the licence (currently £199 GBP). We do not exclude liability for death, personal injury caused by our negligence, or fraud, where such exclusion is prohibited.
11 Intellectual property #
In plain English: We own the workbook, the 0–5 methodology, and the descriptors. You get to use them under the licence — you don’t own them.
The workbook, the 0–5 capability framework, the descriptors, the dashboards, the proficiency weighting, the layout, and any associated assets remain the intellectual property of Upleashed Limited. The licence grants you the right to use the work in your own internal business operations; it does not transfer ownership or assign any underlying intellectual property.
12 Termination #
In plain English: If you breach clause 3 (don’t resell, redistribute, train AI on it), the licence ends. No refund.
This licence terminates automatically and without notice if you breach the restrictions in clause 3 (what you cannot do). Termination does not entitle you to any refund. On termination you must stop using the workbook, destroy any copies you hold, and confirm in writing that you have done so if we ask you to.
13 Governing law #
In plain English: English law. English courts.
This agreement and any dispute arising out of or in connection with it (including non-contractual disputes) is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.

No. The licence covers one team only (up to 30 people, up to 30 skills). If two teams in your organisation want to use the template, they need two licences — or talk to us about a site licence for the whole organisation, which works out cheaper per team.
Can I use the workbook to train an AI model?
No. Clause 3 prohibits using the file, its descriptors, or its methodology to train an AI model, ML system, or competing product. The methodology represents 20 years of refinement and the £199 licence is not a commercial training-data licence.
